Diffio Terms of Service

IMPORTANT, PLEASE READ CAREFULLY: By accessing or using any part of the Diffio website, applications, APIs, or related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

Diffio AI is provided and operated by Ozni Apps, LLC ("Ozni Apps"). In these Terms, "Diffio," "we," "us," and "our" refer to Ozni Apps, LLC.

1. Eligibility and Accounts

1.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service.

1.2 Account Registration

You agree to provide accurate, complete, and current information when creating an account and to keep that information updated.

1.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must promptly notify us if you believe your account has been compromised or used without authorization.

1.4 Suspension and Termination of Accounts

We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms, created risk or legal exposure for Diffio or others, engaged in fraud or abuse, or used the Service in a way that could harm the Service or other users.

2. Access to the Service

2.1 Limited License

Subject to these Terms, Diffio grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended purposes.

2.2 Changes to the Service

We may modify, update, suspend, or discontinue all or part of the Service at any time. We will try to provide notice where reasonably practical if we discontinue a material paid feature, but we do not guarantee advance notice in all cases.

3. Acceptable Use

You may not use the Service to:

  • violate any applicable law or regulation;
  • infringe, misappropriate, or otherwise violate any third-party rights, including intellectual property, privacy, publicity, or contractual rights;
  • upload, submit, or process content you do not have the right to use;
  • upload, store, transmit, generate, or process unlawful, defamatory, harassing, hateful, or fraudulent content;
  • upload, store, transmit, generate, or process pornographic or sexually explicit content, including NSFW content;
  • upload, store, transmit, generate, or process content involving sexual exploitation or abuse of minors, or any content depicting minors in a sexualized manner;
  • use the Service to threaten, incite violence, or facilitate harmful or illegal conduct;
  • interfere with or disrupt the Service, including bypassing security measures or rate limits;
  • reverse engineer, decompile, disassemble, or attempt to derive source code, underlying models, or non-public aspects of the Service, except to the extent such restriction is prohibited by law;
  • use bots, scrapers, or automated means to access the Service in an unauthorized manner;
  • use the Service to develop or improve a competing service using unauthorized extraction, benchmarking, or model replication;
  • use the Service in a way that could damage, disable, overburden, or impair our systems.

We may remove or refuse to process content that violates these Terms or that we reasonably believe poses legal, security, or reputational risk.

4. User Content

4.1 Ownership

You retain ownership of the audio, video, images, transcripts, metadata, prompts, corrections, and other content you upload, submit, or create through the Service ("User Content").

4.2 License to Diffio to Provide the Service

You grant Diffio a non-exclusive, worldwide, limited-term license to host, store, reproduce, transmit, modify, process, display, and use your User Content solely as necessary to operate, provide, maintain, secure, support, and improve the Service for you and your account or workspace.

This includes, for example:

  • processing your files to generate restorations, transcripts, search results, and related outputs;
  • storing your projects and project history until you delete them;
  • using transcript corrections and edits to improve your project and features within your account or workspace;
  • detecting abuse, security incidents, and violations of these Terms.

4.3 Optional Shared Model Improvement

If you affirmatively opt in through a product setting or other clear consent flow made available by Diffio, you also grant Diffio a non-exclusive, worldwide, royalty-free license to use the User Content covered by that opt-in, including transcript corrections and related data, for shared model training, fine-tuning, evaluation, benchmarking, quality assurance, and product improvement.

If you do not opt in, Diffio will not use your User Content for those shared model improvement purposes.

If you later withdraw your opt-in, Diffio will stop using new content from your account for shared model improvement on a going-forward basis. Withdrawal will not necessarily affect training, tuning, or evaluations already completed before your withdrawal request.

4.4 Your Responsibilities

You represent and warrant that:

  • you own or control all rights necessary to upload and use the User Content with the Service;
  • your User Content and your use of the Service do not violate any applicable law or third-party rights;
  • your User Content does not include prohibited content under these Terms.

4.5 No Obligation to Store Indefinitely

Diffio provides project history and storage as part of the Service as then offered, but the Service is not a backup or archival system. You are responsible for maintaining your own copies of important User Content and outputs.

5. Service Outputs

The Service may generate outputs such as restored media, transcripts, search results, summaries, metadata, and related materials ("Outputs").

As between you and Diffio, and subject to your compliance with these Terms, Diffio assigns to you any rights we may have in Outputs generated specifically for your use from your User Content, except for:

  • Diffio's underlying software, models, algorithms, interfaces, and systems;
  • aggregated or de-identified analytics;
  • feedback, suggestions, or general know-how;
  • any third-party materials or components included in the Service.

You acknowledge that Outputs may not be unique, may contain errors, and may require human review before use.

6. Diffio Intellectual Property

The Service, including its software, models, workflows, interfaces, design, branding, and all related intellectual property rights, is owned by Diffio or its licensors and is protected by applicable law.

Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

7. Fees, Billing, and Refunds

7.1 Paid Services

Certain features or plans may require payment. You agree to pay all applicable fees as described at the time of purchase.

7.2 Billing

If you purchase a subscription or other paid feature, you authorize us or our payment processors to charge the applicable payment method.

7.3 Pricing Changes

We may update pricing, introduce new charges, or modify plan features from time to time. For recurring subscriptions, changes will apply prospectively after notice as required by applicable law.

7.4 Refunds

Except as required by law or as otherwise expressly stated by us in writing, fees are non-refundable.

8. Privacy

Your use of the Service is subject to the Diffio Privacy Policy, which is incorporated into these Terms by reference. If there is a conflict between these Terms and the Privacy Policy regarding privacy or data handling, the Privacy Policy will control with respect to those privacy and data handling issues.

9. Feedback

If you provide suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant Diffio a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that Feedback without restriction or obligation to you, provided that Feedback does not include User Content that is otherwise governed by Section 4.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIFFIO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

DIFFIO DOES NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
  • THE SERVICE OR ANY OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE;
  • USER CONTENT WILL NEVER BE LOST, CORRUPTED, OR UNAVAILABLE.

You are responsible for reviewing Outputs and determining whether they are appropriate for your use case.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DIFFIO, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIFFIO'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • USD $100, OR
  • THE AMOUNT YOU PAID TO DIFFIO FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Diffio, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • your User Content;
  • your use of the Service;
  • your violation of these Terms; or
  • your violation of any law or third-party rights.

13. Term and Termination

These Terms remain in effect until terminated by you or Diffio.

You may stop using the Service at any time.

We may suspend or terminate your access to the Service if:

  • you breach these Terms;
  • we are required to do so by law;
  • your use of the Service creates risk, harm, or potential legal exposure for Diffio, users, or others; or
  • we discontinue the Service.

Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination will survive, including Sections 4, 5, 6, 9, 10, 11, 12, 14, and 15.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association in accordance with its applicable rules, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property, confidential information, or other rights requiring immediate relief.

YOU AND DIFFIO WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION, TO THE EXTENT PERMITTED BY LAW.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the "Last Updated" date. Your continued use of the Service after the updated Terms become effective means you accept the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable order forms or plan terms, constitute the entire agreement between you and Diffio regarding the Service.

16.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.3 Assignment

You may not assign or transfer these Terms without Diffio's prior written consent. Diffio may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.

16.4 No Waiver

A failure by Diffio to enforce any provision of these Terms is not a waiver of its right to do so later.
